# End User License Agreement (EULA)

### 1. Definitions

1.1 **"Agreement"** means this End User License Agreement, including any documents incorporated by reference under Section 26.

1.2 **"Software"** or **"CST+"** means the CST+ software product supplied by the Licensor, including its control plane, edge streaming components, command line tools, web panel and any accompanying Documentation, in object (compiled, bundled or obfuscated) form.

1.3 **"Customer"**, **"you"** or **"your"** means the natural or legal person who acquires a License and accepts this Agreement. A Customer may be a business or a consumer.

1.4 **"Consumer"** means a Customer who is a natural person acting for purposes outside their trade, business, craft or profession, within the meaning of the Finnish Consumer Protection Act (Kuluttajansuojalaki 38/1978).

1.5 **"License"** means the right to use the Software granted under Section 3, for the duration of the Subscription Term.

1.6 **"License Key"** means the unique credential issued to the Customer that activates and authorises use of the Software.

1.7 **"Subscription Term"** means the period for which the License has been paid for and is active, as selected by the Customer at purchase and as renewed from time to time.

1.8 **"Licensing Infrastructure"** means the online services operated by the Licensor that issue, validate and revoke License Keys and that distribute the installer and Software updates, including the activation and update endpoints hosted at the Licensor domains.

1.9 **"Documentation"** means the user and technical documentation made available by the Licensor for the Software.

1.10 **"End User"** means any person to whom the Customer makes content or services available using the Software, including viewers of the Customer's streams.

1.11 **"Content"** means any audio, video, image, metadata, electronic programme guide data, stream, file or other material that the Customer ingests into, processes with, stores in, transmits through or makes available using the Software.

1.12 **"Acceptable Use Policy"** or **"AUP"** means the policy published at <https://legal.norppa.co/cstplus/aup>, as amended from time to time.

### 2. The Agreement and acceptance

2.1 You accept this Agreement by any of the following, whichever occurs first: (a) clicking an "I agree" or equivalent control presented by the installer; (b) clicking to accept when you first sign in to the Software web panel; (c) activating a License Key; or (d) installing, accessing or using the Software.

2.2 If you accept this Agreement on behalf of a business or other organisation, you represent that you have authority to bind that organisation, and "Customer" refers to that organisation.

2.3 The Licensor may issue updated versions of this Agreement in accordance with Section 25.

### 3. License grant

3.1 Subject to your continuous compliance with this Agreement and to payment of all applicable fees, the Licensor grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable License to install and use the Software for your own internal business or personal purposes during the Subscription Term.

3.2 The License is granted to the named Customer only. It is personal to that Customer and may not be shared with, assigned to, or used by any other person or entity, except as expressly permitted in this Agreement.

3.3 Unless your order expressly states otherwise, the License authorises one (1) production installation of the Software (one server or instance) per License Key, subject to the activation and hardware binding rules in Section 5.

3.4 The scope of permitted use, including any limits on the number of channels or other features, is determined by the plan selected at purchase. Use beyond the limits of your plan is not licensed.

3.5 The Software is licensed, not sold. The Licensor and its licensors retain all right, title and interest in and to the Software, as set out in Section 10.

### 4. License restrictions

4.1 You shall not, and shall not permit any third party to:

(a) copy, reproduce or distribute the Software except as strictly necessary to install and run the permitted installation;

(b) sell, rent, lease, lend, sublicense, host as a service for third parties, or otherwise commercially exploit the Software, except that you may use the Software to operate your own services for your own End Users;

(c) reverse engineer, decompile, disassemble, deobfuscate or otherwise attempt to derive the source code, underlying ideas, algorithms or structure of the Software, except to the limited extent this restriction is expressly prohibited by applicable mandatory law;

(d) modify, adapt, translate or create derivative works of the Software, other than configuration and white labelling expressly enabled by the Software;

(e) remove, disable, circumvent, bypass, tamper with or interfere with any License Key, activation, license validation, integrity verification, anti-tamper, usage metering, or other technical protection or enforcement mechanism of the Software or the Licensing Infrastructure;

(f) use, generate, distribute or apply any unauthorised, forged, "nulled", "cracked" or otherwise invalid License Key, or operate the Software without a valid License;

(g) share a single License Key or installation across multiple persons, servers or organisations beyond the scope licensed;

(h) access the Software in order to build a competing product, or copy any feature, function or interface of the Software for that purpose;

(i) use the Software in violation of this Agreement, the AUP, or any applicable law.

4.2 The restrictions in Section 4.1 are material terms. Any breach entitles the Licensor to suspend or terminate the License under Sections 20 and 22.

### 5. License Keys, activation and hardware binding

5.1 The Software requires a valid License Key and activation to operate.

5.2 On first activation, the License Key is bound to the hardware fingerprint of the installation. Thereafter the License Key will operate only on that installation.

5.3 You may reset the hardware binding through the customer panel up to three (3) times per rolling seven (7) day period, for example when you move the Software to new hardware. Resets beyond this limit may require contacting the Licensor.

5.4 You are responsible for keeping your License Key confidential. You are responsible for all use of the Software made under your License Key.

### 6. License validation, telemetry and enforcement

6.1 You acknowledge and expressly agree that the Software and the Licensing Infrastructure include, and you consent to the operation of, the following mechanisms:

(a) **periodic online validation**, by which the Software contacts the Licensing Infrastructure from time to time to confirm that the License remains valid and within plan limits;

(b) **abuse and sharing detection**, including detection of activation of the same License Key from an excessive number of distinct network addresses within a rolling time window, used to enforce the per License limits of this Agreement;

(c) **integrity verification (anti-tamper)**, by which the Software verifies that its components have not been modified, and refuses to run if tampering is detected;

(d) **remote restriction or disabling**, by which the Licensor may limit, suspend or disable the operation of the Software upon expiry of the Subscription Term, non-payment, detection of tampering, detection of License sharing or other breach of this Agreement, including by causing running streams or channels to stop.

6.2 You acknowledge that the Software is designed to require successful validation against the Licensing Infrastructure at least once within a defined grace period, and that preventing such validation (for example by blocking the Licensing Infrastructure) will, after the grace period, cause the Software to cease operating. This is an intended license enforcement behaviour and not a defect.

6.3 The categories of data processed by these mechanisms, and the legal bases for that processing, are described in the Privacy Policy at <https://legal.norppa.co/cstplus/privacy>. Processing carried out by the Licensor for the purpose of license validation and anti-piracy enforcement is based on the Licensor's legitimate interest in protecting the Software against unauthorised use, and, where applicable, on this Agreement.

### 7. Updates and upgrades

7.1 The Licensor may make available updates, patches and new versions of the Software through the Licensing Infrastructure.

7.2 Security and integrity updates may be required for continued use. The Licensor may decline to support, and may disable, versions of the Software that are tampered with, materially out of date, or that pose a security or integrity risk.

7.3 New major versions or additional modules may be offered as separate or chargeable products at the Licensor's discretion. Nothing in this Agreement obliges the Licensor to provide any particular future feature.

### 8. Customer responsibilities, Content and Acceptable Use

8.1 **Content neutrality.** The Software is a general purpose, content neutral media processing and delivery tool. The Licensor does not host, select, originate, control, monitor, review or have access to any Content that you process or distribute using the Software. All Content is handled solely on systems operated by or for you.

8.2 **Sole responsibility for Content.** You are solely and fully responsible for all Content and for all use of the Software by you and your End Users. You represent and warrant that you hold, and will maintain for the duration of use, all rights, licenses, consents, clearances and permissions necessary to ingest, process, store, transmit and make available all Content, including all copyright, neighbouring rights, broadcasting rights and any rights of third parties.

8.3 **Prohibited use.** You shall not use the Software to ingest, process, store, transmit or make available any Content or to carry out any activity that:

(a) infringes the intellectual property, broadcasting, privacy, publicity or other rights of any third party, including unlicensed retransmission of television channels, films, sports or other protected works;

(b) is unlawful, defamatory, obscene, or constitutes child sexual abuse material or other illegal content;

(c) violates the AUP at <https://legal.norppa.co/cstplus/aup>; or

(d) violates any applicable law or regulation.

8.4 **Compliance and operation.** You are responsible for the lawful operation, security, configuration, backup and maintenance of your installation, your servers, your network and your relationship with your End Users, including providing your own terms and privacy notices to your End Users.

8.5 The Licensor may suspend or terminate the License under Sections 20 and 22 if it reasonably believes the Software is being used in breach of this Section 8, without thereby assuming any duty to monitor.

### 9. Indemnification by Customer

9.1 To the maximum extent permitted by applicable law, you shall defend, indemnify and hold harmless the Licensor against any and all third party claims, demands, proceedings, losses, damages, fines, penalties, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) any Content you process or distribute using the Software; (b) your use of the Software in breach of this Agreement or the AUP; (c) your violation of any law or of any third party right; or (d) your relationship with, or provision of services to, your End Users.

9.2 The indemnity in Section 9.1 does not apply to a Consumer to the extent it would deprive the Consumer of mandatory rights under applicable consumer law. It applies in full to business Customers.

### 10. Intellectual property

10.1 The Software, the CST+ and NorppaMedia names, logos and branding, and all intellectual property rights in any of them, are and remain the exclusive property of the Licensor and its licensors. This Agreement grants you only the limited License expressly stated and no other rights.

10.2 You shall not contest, challenge or assist any third party in contesting the Licensor's ownership of the Software or its branding.

10.3 If you provide the Licensor with feedback or suggestions about the Software, the Licensor may use them without restriction and without obligation to you.

### 11. White labelling and branding

11.1 The Software may allow you to apply your own branding to the web panel and to your End User facing surfaces, to the extent the Software expressly supports this.

11.2 Except as expressly enabled by the Software's white labelling features for your own End User facing use, you shall not use the CST+ or NorppaMedia names, logos or branding, and shall not represent that you own or developed the Software.

11.3 You shall not use white labelling to remove, hide or circumvent any License Key, activation or enforcement mechanism, or to misrepresent the origin of the Software to evade this Agreement.

### 12. Third party software

12.1 The Software operates with, or relies on, third party software components, which remain subject to their own licenses. These include, without limitation:

(a) **FFmpeg**, used for media processing. FFmpeg is installed from your operating system's package repositories and is licensed under the GNU LGPL or GPL as applicable. Your use of FFmpeg is subject to those licenses.

(b) **MaxMind GeoLite2** data, where used for geographic lookup, subject to MaxMind's end user license terms and attribution requirements. This product includes GeoLite2 data created by MaxMind, available from <https://www.maxmind.com>, where applicable.

(c) Various open source libraries provided under permissive licenses such as the MIT license.

12.2 The relevant third party notices, where applicable, are made available with the Software. The Licensor is not responsible for third party components beyond integrating them in good faith.

### 13. Data protection

13.1 In operating the Licensing Infrastructure, the Licensor processes a limited set of personal data relating to the Customer and the Customer's installation, such as the License Key, server identifiers, and network addresses used for activation and abuse detection. This processing is described in the Privacy Policy at <https://legal.norppa.co/cstplus/privacy>.

13.2 Personal data processed by the Licensor in connection with the Licensing Infrastructure is hosted within the European Economic Area, using the following providers and locations:

(a) database and authentication services hosted in **Ireland**; (b) compute and infrastructure hosted in **Germany**; (c) website and customer panel hosting located in **Luxembourg**.

13.3 As between the parties, where you process personal data of your End Users using the Software on your own systems, you act as the controller of that data and the Licensor does not access it. Where the Licensor acts as a processor of personal data on your behalf, the Data Processing Agreement at <https://legal.norppa.co/cstplus/dpa> applies and is incorporated by reference.

13.4 The Cookies Policy at <https://legal.norppa.co/cstplus/cookies> applies to the Licensor's website and customer panel.

### 14. Fees, payment and taxes

14.1 You shall pay all fees for the Subscription Term in accordance with the plan and order you selected at purchase.

14.2 Unless stated otherwise, fees are exclusive of value added tax and other applicable taxes, which you are responsible for where required.

14.3 If a renewal fee is not paid when due, the Subscription Term will not renew and the License will expire, after which the Software may cease to operate in accordance with Section 6.

### 15. Consumer right of withdrawal

15.1 This Section 15 applies only to Customers who are Consumers.

15.2 As a Consumer, you have the right to withdraw from this Agreement within fourteen (14) days of its conclusion, without giving any reason, in accordance with the Finnish Consumer Protection Act and Directive 2011/83/EU.

15.3 The Software is digital content supplied other than on a tangible medium. If you ask the Licensor to begin supply, activation or performance during the withdrawal period, you will be asked to: (a) give your express prior consent to that immediate performance; and (b) acknowledge that you thereby lose your right of withdrawal once performance has begun. If you give that consent and performance begins, your right of withdrawal is extinguished.

15.4 To exercise the right of withdrawal where it applies, you must inform the Licensor of your decision by a clear statement sent to <legal@norppa.co> with the subject line "CST+". You may, but are not required to, use a model withdrawal form.

15.5 Where you validly withdraw and the right has not been extinguished under Section 15.3, the Licensor will reimburse the payments received from you without undue delay and no later than fourteen (14) days after being informed of your decision.

### 16. Refunds

16.1 For Consumers, refunds are governed by Section 15 and by mandatory consumer law.

16.2 For business Customers, fees are non-refundable once a License Key has been issued, except where required by law or expressly agreed in writing by the Licensor.

### 17. Warranties and disclaimers

17.1 To the maximum extent permitted by applicable law, the Software is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title or non infringement, and without any warranty that the Software will be uninterrupted, error free, secure, or that it will meet your requirements.

17.2 The Licensor does not warrant the lawfulness, availability or quality of any Content, network, third party service or End User outcome, all of which are your responsibility under Section 8.

17.3 Nothing in this Agreement excludes or limits any warranty, guarantee or right that cannot be excluded or limited under applicable mandatory law. If you are a Consumer, you have statutory rights under the Finnish Consumer Protection Act that are not affected by this Section 17, and the disclaimers above apply only to the extent permitted against Consumers.

### 18. Limitation of liability

18.1 This Section 18 applies to the maximum extent permitted by applicable law and is subject to Section 18.4.

18.2 The Licensor shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business, goodwill, data, or for any liability arising from Content or from your End Users, even if advised of the possibility of such damages.

18.3 The total aggregate liability of the Licensor arising out of or in connection with this Agreement, for all claims in aggregate, shall not exceed the total fees paid by you to the Licensor for the Software in the twelve (12) months immediately preceding the event giving rise to the liability.

18.4 Nothing in this Agreement limits or excludes the Licensor's liability for: (a) death or personal injury caused by its negligence; (b) fraud or fraudulent misrepresentation; (c) gross negligence or wilful misconduct; or (d) any liability that cannot be limited or excluded under applicable mandatory law. If you are a Consumer, the limitations in this Section 18 apply only to the extent permitted against Consumers under Finnish law, and your mandatory statutory rights are not affected.

### 19. Support and service levels

19.1 The Software is self-hosted and is installed, operated and maintained solely by you. The Licensor provides no operational support or service level commitment for the Software running on your systems, unless separately agreed in writing.

19.2 Any service level commitment offered by the Licensor applies only to the Licensing Infrastructure, namely the license validation service and the installer distribution service, and is set out in the applicable service level terms, if any. The Licensing Infrastructure is the only component for which the Licensor accepts an availability commitment.

19.3 Temporary unavailability of the Licensing Infrastructure within the grace period referred to in Section 6.2 does not, by itself, interrupt your licensed use of the Software.

### 20. Term and termination

20.1 This Agreement takes effect when you accept it under Section 2 and continues for the duration of the Subscription Term and any renewals, unless terminated earlier in accordance with this Section 20.

20.2 The Licensor may suspend or terminate the License and this Agreement with immediate effect if you: (a) breach Section 4, 6, 8 or 11; (b) fail to pay fees when due; (c) use an invalid, forged, nulled or cracked License Key; or (d) otherwise materially breach this Agreement and, where the breach is capable of cure, fail to cure it within fourteen (14) days of notice.

20.3 You may stop using the Software and terminate this Agreement at any time. Termination does not entitle you to a refund except as provided in Sections 15 and 16.

20.4 The License terminates automatically on expiry of the Subscription Term if not renewed.

### 21. Effect of termination

21.1 On expiry or termination of the License: (a) your right to use the Software ends immediately; (b) the Software may cease to operate, including by stopping running streams or channels, in accordance with Section 6; and (c) you shall stop using and shall remove all copies of the Software within your control.

21.2 Sections that by their nature should survive termination, including Sections 4, 8, 9, 10, 12, 13, 17, 18, 22, 23, 24, 25, 26 and 27, survive termination.

### 22. Suspension

22.1 In addition to its termination rights, the Licensor may suspend or restrict the License or the operation of the Software, with or without notice where the circumstances reasonably require, if it reasonably believes that: (a) the Software is being used in breach of this Agreement or the AUP; (b) a License Key is being shared or used beyond the licensed scope; (c) the Software has been tampered with; or (d) suspension is necessary to comply with law or to protect the Licensor, third parties or the Licensing Infrastructure.

### 23. Export control and sanctions

23.1 You shall comply with all applicable export control, trade and economic sanctions laws, including those of the European Union and Finland.

23.2 You represent and warrant that you are not, and are not acting on behalf of, any person, entity or government that is: (a) listed on the European Union consolidated list of persons, groups and entities subject to restrictive measures, or any equivalent applicable sanctions list; (b) located in, organised under the laws of, or ordinarily resident in, a territory subject to comprehensive European Union sanctions or embargo; or (c) otherwise prohibited from receiving the Software under applicable law.

23.3 You shall not use, export, re-export, supply or make available the Software, directly or indirectly, to any such person, entity or territory, or for any purpose prohibited under European Union or Finnish export control or sanctions law, including any prohibited military, dual use or end use.

23.4 The Licensor may refuse, suspend or terminate the License where required to comply with such laws.

### 24. Confidentiality

24.1 Any non public information about the Software, its License Keys, security mechanisms, and the Licensing Infrastructure is confidential information of the Licensor. You shall not disclose it to third parties or use it other than to exercise your rights under this Agreement.

### 25. Changes to this Agreement

25.1 The Licensor may amend this Agreement from time to time. The current version is always available at <https://legal.norppa.co/cstplus/eula>.

25.2 For material changes, the Licensor will take reasonable steps to notify you, for example through the Software, the customer panel or by email. Changes take effect for renewals and for continued use after the stated effective date.

25.3 If you are a Consumer and you do not accept a material change, your remedy is to stop using the Software and, where applicable, not to renew. Changes will not retroactively reduce your mandatory consumer rights.

### 26. Governing law and jurisdiction

26.1 This Agreement is governed by the laws of Finland, excluding its conflict of law rules and excluding the United Nations Convention on Contracts for the International Sale of Goods.

26.2 For business Customers, the courts of Finland shall have exclusive jurisdiction over any dispute arising out of or in connection with this Agreement.

26.3 If you are a Consumer, this choice of law does not deprive you of the protection of the mandatory provisions of the law of your country of habitual residence, and you may bring proceedings in, and may be sued only in, the courts available to you under applicable consumer law. You may also use the European Commission Online Dispute Resolution platform where available.

### 27. Miscellaneous

27.1 **Assignment.** You may not assign or transfer this Agreement or the License without the Licensor's prior written consent. The Licensor may assign this Agreement to a successor of its business.

27.2 **Entire agreement.** This Agreement, together with the documents incorporated by reference, is the entire agreement between the parties regarding the Software and supersedes all prior understandings on its subject matter.

27.3 **Severability.** If any provision is held invalid or unenforceable, the remaining provisions continue in full force, and the invalid provision is replaced by a valid one that most closely reflects its intent.

27.4 **No waiver.** Failure to enforce a provision is not a waiver of the right to enforce it later.

27.5 **Force majeure.** The Licensor is not liable for any failure or delay caused by events beyond its reasonable control.

27.6 **Notices.** Legal notices to the Licensor must be sent to <legal@norppa.co> with the subject line "CST+". The Licensor may give notices to you through the Software, the customer panel or the contact details associated with your License.

27.7 **Incorporated documents.** The following documents are incorporated into this Agreement by reference: the Acceptable Use Policy (<https://legal.norppa.co/cstplus/aup>), the Privacy Policy (<https://legal.norppa.co/cstplus/privacy>), the Cookies Policy (<https://legal.norppa.co/cstplus/cookies>), and, where applicable, the Data Processing Agreement (<https://legal.norppa.co/cstplus/dpa>).

27.8 **Language.** This Agreement is concluded in English, which is the authoritative language. Any translation is provided for convenience only.
